Procurement Agency Service Terms

Version: 2026-10-28

These Terms apply to business-to-business procurement agency services provided by Yiwu Ketu E-commerce Firm (“Agent”, “we”, or “us”), to the business customer identified in the project agreement (“Buyer” or “you”).

Before paid work begins, the parties confirm the project scope, fees, payment arrangements, and the version of these Terms accepted by the Buyer. Acceptance may be recorded by a signed agreement or explicit electronic confirmation. Sending an inquiry or requesting a quotation alone does not constitute acceptance of all these Terms.

Important provisions: Please review payment separation, cancellation and settlement, inspection limits, supplier-introduction protection, liability, and dispute resolution. Before acceptance we draw material provisions to the Buyer’s attention and explain them on request. No payment or browsing action replaces explicit agreement to material project terms.

1. Agency Role & Project Scope

Under our standard arrangement, Yiwu Ketu E-commerce Firm provides sourcing introductions, supplier communication, quotation coordination, and other services expressly included in the project agreement. We do not manufacture or sell the goods, hold merchandise inventory for resale, or act as exporter of record. If goods are entrusted to us or another provider for temporary handling, the custody, location, handling scope and charges must be recorded; responsibility for actual custody is not excluded by our agency description.

The goods purchase is agreed between the Buyer and the identified Supplier. Any different role for Yiwu Ketu E-commerce Firm requires a separate express agreement and any legally required qualifications. Actual conduct and applicable law determine the parties’ legal responsibilities.

Supplier goods prices, logistics costs, and our agency fee are identified separately. An estimated project total, if supplied for budgeting, does not change the identified seller or payment recipients.

We do not guarantee a Supplier’s performance merely by introducing it. We must nevertheless report information honestly, disclose known material issues relevant to our work, and exercise reasonable care in performing the agreed agency services. Supplier statements are identified as such. We disclose material supplier-side commissions, rebates or conflicts affecting the project and agree their treatment before commitment. We do not deliberately conceal material facts or provide false information; any resulting fee forfeiture or compensation follows applicable law.

2. Fees & Separate Payment Arrangements

The project quotation specifies the fee basis, applicable rate, included services, currency, payment schedule, and any minimum fee. Our standard minimum agency service fee is US$80 unless expressly varied in writing. Any percentage illustration is not a universal rate. The quotation distinguishes any success-based introduction remuneration from separately commissioned coordination tasks, their deliverables, approved costs and payment milestones. Advance payment is not automatically earned on receipt. Where a service is legally classified as brokerage, remuneration and necessary expenses are settled under the applicable brokerage rules; a website minimum fee does not override those rules.

Agency fees are payable before project commencement unless another schedule is agreed. Samples, transport, testing, specialist inspections, and other excluded costs are identified separately. Additional expenditure requires the Buyer’s approval.

Yiwu Ketu E-commerce Firm does not receive, hold, forward, or settle merchandise payments under this arrangement. Goods payments and agency fees must be separate.

Goods deposits and balances are paid to the Supplier or another verified, authorized recipient identified in the transaction documents. An exporter or logistics provider is not automatically authorized to collect goods payments merely because it participates in shipment.

We accept international bank transfers (T/T) for our agency fee only. PayPal, cards, Western Union, and other payment platforms are not accepted for that fee. Bank-charge allocation is confirmed in the payment instructions.

If merchandise funds are received in error, we will notify the payer and coordinate their lawful return or correction with the bank. Such receipt does not authorize us to purchase goods or forward the funds.

Verify the beneficiary against the confirmed payment instructions. Any account change must be verified through a previously established contact channel.

3. Cancellation, Settlement & Refunds

Either party may request termination by written notice. Termination rights, notice obligations, settlement, and any compensation are subject to the accepted agreement and applicable law.

Cancellation does not automatically entitle the Buyer to a full refund or the Agent to retain the entire fee. Settlement considers work actually completed, reasonable documented costs, the reason for cancellation, and any lawful compensation for termination. We provide a statement explaining retained and refundable amounts. Unperformed coordination work is not charged as completed work. Where brokerage rules apply, an unsuccessful introduction does not itself entitle us to brokerage remuneration; necessary expenses are recoverable only as agreed and permitted by law. We may not retain fees or claim compensation contrary to mandatory rules.

Commencement of sourcing work alone does not make all prepaid fees non-refundable. Supplier default, delay, or quality disputes do not automatically make Yiwu Ketu E-commerce Firm responsible for the Supplier’s obligations, but do not excuse Yiwu Ketu E-commerce Firm’s own breach.

Refund requests should include the project reference, payment evidence and reason. Please contact us promptly after identifying the issue. No separate 30-day website deadline applies; applicable limitation periods and other legal rights remain unaffected.

Approved refunds normally return to the original paying account. If that account cannot receive funds, a verified lawful alternative must be agreed. Processing time and applicable bank charges are explained before processing. No blanket waiver of unrelated claims is required to receive an undisputed refund.

Refunds of merchandise payments are addressed separately under the Supplier purchase arrangement.

4. Buyer Instructions & Supplier Responsibilities

The Buyer must provide accurate product requirements, quantities, destination, intended users, packaging, and required delivery dates. Supplier selection, specifications, purchase terms, and sample approvals must be confirmed before commitments are made.

The Supplier is responsible for its manufacturing and sales obligations. The Buyer should arrange suitable supplier due diligence and destination-market review, using specialist assistance where needed. Any checks commissioned from Yiwu Ketu E-commerce Firm must be included in the agreed service scope.

Yiwu Ketu E-commerce Firm must follow lawful agreed instructions, communicate material issues discovered during its work, and seek approval for material changes. We do not assume all Supplier risks, but remain responsible for our own agreed duties and applicable legal obligations.

5. Limited Checks & Shipment Approval

A basic pre-shipment check is provided only within the agreed scope. The project record identifies whether quantity, external packaging, visible product appearance, or other checks are included, together with coverage and any sampling method.

Our basic check is limited to the agreed visible features and recorded coverage. It is not a full inspection, functional test, hidden-defect assessment, laboratory test or compliance certification. Any specialist inspection or testing is commissioned separately from an appropriately qualified independent provider at an approved cost; we do not perform laboratory testing or issue product certification.

Photos and notes record the checks performed and their limitations. These limits do not excuse failure to perform agreed checks or to report known material issues.

Before Yiwu Ketu E-commerce Firm coordinates shipment release, the Buyer must provide clear approval identifying the project, relevant goods, outstanding issues, and shipping instruction. We provide a confirmation form or agreed instructions. Ambiguous messages require clarification.

Shipment approval does not by itself waive concealed-defect claims, release the Supplier from its obligations, or exclude liability for Yiwu Ketu E-commerce Firm’s own breach.

6. Export & Customs Coordination

Export arrangements may involve market procurement trade (customs code 1039), general trade, or another applicable route. Suitability depends on the goods, transaction, relevant filings, and regulatory requirements. No export route or clearance result is guaranteed.

The exporter, declarant, logistics provider, payment recipient, and their respective roles are identified in the relevant documents. A service provider may perform more than one role where legally qualified and expressly appointed.

Each party remains responsible for its own declarations, documents, conduct, and statutory obligations. Yiwu Ketu E-commerce Firm is responsible for its agreed coordination work and must not knowingly transmit false information. Customs authorities determine inspections and clearance.

7. Product Requirements & Customization

Compliance requirements depend on product materials, design, intended use, destination, and sales channel. Supplier statements or reports do not establish blanket compliance for every product or shipment.

We may request available Supplier documents. Unless separately commissioned, forwarding a report does not constitute independent verification, laboratory testing, or product certification. Required document review and testing should be arranged before ordering.

OEM/ODM, logos, and packaging depend on Supplier capabilities, MOQ, sample approval, and schedule. Specifications, costs, artwork, tooling ownership where relevant, and acceptance criteria should be documented before production.

The Buyer must have the rights or authorization needed for supplied artwork and branding. Yiwu Ketu E-commerce Firm may decline requests reasonably suspected of infringement or unlawful activity.

8. Shipping, Charges & Insurance

We may coordinate courier, air, or sea freight through relevant providers. Freight estimates depend on route, availability, dimensions, and chargeable weight. Final charges require confirmation.

Unless otherwise agreed, the Buyer pays approved freight and logistics costs. Quotations identify included and excluded charges, including applicable destination charges, duties, and taxes. Shipping terms and the allocation of transit risk must be confirmed separately.

Cargo insurance is arranged only when requested, available, and confirmed. Coverage, exclusions, insured value, and claim requirements depend on the policy. Insurance does not cover every loss.

9. Confidentiality & Supplier Introductions

Each party must protect non-public commercial information received for the project and use it only for the agreed purpose. Information already lawfully known, publicly available without breach, independently developed, or lawfully obtained from another source is excluded.

Necessary disclosure to project partners, advisers or authorities is limited to the agreed purpose and required information, with appropriate confidentiality measures. Personal-information disclosures also follow the Privacy Notice and applicable notice, consent and transfer requirements.

Where expressly accepted, supplier-introduction protection applies during the project and for 12 months after termination to Suppliers identified in the project introduction record. It covers transactions arising from the Agent’s documented introductions or transaction opportunities.

The Buyer must not use those introductions to evade an agreed agency fee. Direct technical communication is not itself prohibited. Pre-existing relationships and independently obtained opportunities are excluded where supported by records.

Any fee claim must identify the relevant introduction, covered transaction, agreed fee basis, and applicable legal grounds. No automatic fee is charged on every future transaction with a Supplier.

10. Liability & Loss Mitigation

Each party is responsible for loss attributable to its own breach or other conduct for which applicable law imposes responsibility. Both parties must take reasonable steps to avoid or reduce loss.

Yiwu Ketu E-commerce Firm does not guarantee the independent performance of Suppliers, carriers, or authorities merely by coordinating with them. This does not exclude responsibility arising from Yiwu Ketu E-commerce Firm’s own selection, instructions, representations, reporting, or agreed supervision where applicable.

Any proposed monetary liability cap or exclusion of specified commercial losses must be separately identified, explained, and expressly agreed in the project agreement. These website Terms do not impose an automatic service-fee-only cap.

No limitation excludes liability for personal injury, property loss caused intentionally or by gross negligence, fraud, or other liability that applicable law does not permit the parties to exclude. Refund settlement obligations are not extinguished by a damages limitation.

11. Force Majeure & Service Disruption

A party affected by an event qualifying as force majeure under applicable law must notify the other promptly, provide reasonable supporting evidence, and take reasonable mitigation measures.

Relief depends on the event’s actual effect on performance and applicable law. Ordinary Supplier delay or increased cost is not automatically force majeure. The parties discuss revised performance or termination and settle outstanding amounts accordingly.

12. Governing Law & Disputes

These agency Terms are governed by the laws of the People’s Republic of China, subject to applicable mandatory rules that cannot lawfully be displaced.

The parties first seek resolution through good-faith discussion. This does not prevent urgent protective measures or steps needed to preserve legal rights.

Subject to valid written acceptance of this clause, disputes are submitted to the competent People’s Court in Yiwu, Zhejiang, China, or another competent court required by applicable rules on court level, exclusive jurisdiction, or centralized jurisdiction.

Court costs and legal expenses are allocated under applicable law, any enforceable agreement, and the relevant court’s decision. A party does not automatically owe the other’s legal expenses solely because it brings proceedings or makes a complaint abroad.

13. Records, Changes & Agreement Priority

The accepted project agreement identifies the parties’ legal names, contact details, project reference, service scope, fees, and applicable Terms version. Material instructions and approvals should be kept in accessible written or electronic records.

Specifically agreed project provisions prevail over inconsistent standard provisions to the extent lawful. Material changes to an existing project require mutual agreement; website updates do not automatically amend accepted projects.

New Terms versions may be proposed for future projects. Important changes must be clearly disclosed before acceptance. Failure to enforce a provision once does not automatically waive it for the future.

These Terms and the accepted project documents form the agency agreement. This does not exclude legally relevant communications, evidence, misrepresentation claims, or obligations that cannot lawfully be excluded. If a provision is unenforceable, the remainder applies only to the extent permitted by law.
